Warranty<\/h2>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.1<\/strong> Unless the limited warranty accompanying any Software Product and Hardware Product covered by these Terms and Conditions grants different rights to the Buyer, the Seller warrants to the Buyer, and to the Buyer only, that:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li><strong>Software Product:<\/strong> The Software Product is provided to the Buyer free of defects for the Term.<\/li>\n\n<li><strong>Hardware Products:<\/strong> Hardware Products manufactured or supplied by the Seller will perform their function in accordance with the specifications agreed upon at the time the order is placed. Hardware products may include GPS gateways, wired or wireless sensors, antennas, cables or other hardware components. Hardware products exclude all consumables such as fasteners, adhesives and other consumables of that kind. The warranty period for Hardware Products such as GPS gateways and sensors is twelve (12) months, and all parts are and will remain free from defects in materials or workmanship during that twelve (12) month period from the date of shipment by Exalt Systems.<\/li>\n\n<li><strong>Labor:<\/strong> To the extent that Exalt Systems has installed the Hardware Product itself or through a third party expressly authorized by Exalt Systems, Exalt Systems warrants that such installation will be adequate for normal use of the Product, provided that the installation is not altered or modified. This warranty is valid for a period of twelve (12) months from the date of installation. During the warranty period, the liability of Exalt Systems is limited to the replacement, repair or credit of any product.<\/li>\n<\/ul>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.2<\/strong> The limited Product warranty set out above applies only if and to the extent that (a) the Product is properly installed, interfaced, maintained, stored and used correctly and in accordance with the specifications of Exalt Systems, and; (b) the Product is not modified and is not misused or used improperly. This limited product warranty does not apply, and Exalt Systems cannot be held liable for defects or performance problems resulting from (i) the combination or use of the product with any hardware, software, information, data, systems, interfaces or devices not manufactured, supplied or specified by Exalt Systems; (ii) the use of the Product under any specification other than, or in addition to, the standard specifications of Exalt Systems for its Products; (iii) unauthorized installation, modification, repair or use of the Product; (iv) damage caused by accident, lightning or other electrical shock, immersion in fresh or salt water, or exposure to environmental conditions for which the Product is not designed; (v) normal wear of consumable parts or (vi) minor damage. Exalt Systems does not warrant or guarantee the results obtained through the use of the Product.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\"><strong>1.3<\/strong> The foregoing limited warranty is the sole express warranty to the buyer and is provided in lieu of any other express warranty (if any) created by any documentation or packaging. Except for the limited warranty and to the fullest extent permitted by applicable law, Exalt Systems and its suppliers deliver the product, the accompanying documentation, parts and support services (if any) as is, and hereby disclaim all other warranties and conditions, whether express, implied or statutory, including, without limitation, any (if any) implied warranties or conditions of merchantability or fitness for a particular purpose, absence of viruses, accuracy or completeness of responses, results, negligence or lack of workmanlike effort, all with regard to the Products and the provision of or failure to provide support services (if any). Furthermore, to the maximum extent permitted by applicable law and regardless of whether any remedy set out herein fails of its essential purpose, in no event shall Exalt Systems be liable to the customer or any third party by reason of the use of or inability to use the services, under any contract, negligence, strict liability or other theory, for any special, incidental, indirect, punitive or consequential damages, including, but not limited to, damages for: loss of profits or revenue, business interruption, cost of procurement of substitute goods or technology, loss of privacy, corruption or loss of data or of its integrity, failure to transmit or receive data, or any other pecuniary loss whatsoever arising out of or in any way related to the use of or inability to use the services or otherwise in connection with any provision of this agreement.<\/p>\n\n\n\n<p class=\"wp-block-paragraph\">The total liability of Exalt Systems shall be limited solely to direct damages proven by sufficient evidence and shall not exceed, in the aggregate, the fees paid.<\/p>\n<\/div>\n<\/div>\n","protected":false},"excerpt":{"rendered":"<p>Last updated: September 23, 2026 This translation is provided for convenience; the French version prevails. 1.
